The Combined Code

The Board is committed to ensuring that the highest standards of corporate governance are maintained by Axis-Shield and it manages its affairs in accordance with the principles and provisions set out in the Combined Code on Corporate Governance of the Financial Reporting Council (the Code) which came into effect for financial years beginning on or after 1 November 2003, as revised June 2006.

Statement of Compliance

Having considered the provisions of the Combined Code, the Board believes that the Company has complied with the best practice provisions of the Code as stated in the attached document prepared for the report and accounts for the year ended 31 December 2006.

Following the recommendation of the Financial Reporting Council for companies to make available Board Committee Terms of Reference, please find attached the current Terms of Reference of each of our Audit, Compensation and Nomination Committees.
